Your personal data will be processed in accordance with Parcy’s Privacy Policy (https://parcy.co/privacy) and Data Processing Addendum (https://parcy.co/data-processing).

User Content and License
All content you submit to the Services (“User Content”) remains yours, but you grant Parcy a non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, distribute, display, and perform such User Content solely in connection with providing and promoting the Services. You represent that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

Parcy Content and Intellectual Property
All content made available through the Services, other than User Content, is the property of Parcy or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services or the content provided unless expressly authorized by Parcy.

Rules of Conduct
You agree not to:

• Violate any law or rights of others;

• Upload harmful, fraudulent, or misleading content;

• Transmit viruses or malware;

• Attempt to gain unauthorized access to any systems;

• Scrape, crawl or extract data from the Services without permission;

• Reverse engineer any part of the Services.

Parcy reserves the right to monitor and remove any content at its sole discretion.

Third-Party Services
The Services may link to or incorporate third-party services. Parcy is not responsible for the availability, content, or accuracy of third-party services. Your use of such services is at your own risk.

Termination
Parcy may terminate or suspend your access to the Services at any time with or without cause and with or without notice. You may terminate your account at any time. All provisions of these Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Parcy disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Parcy does not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability
To the maximum extent permitted by law, Parcy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Parcy’s total liability shall not exceed the greater of $500 or the fees paid by you to Parcy in the three months preceding the claim.

Indemnification
You agree to indemnify, defend, and hold harmless Parcy and its affiliates, directors, officers, employees, and agents from any claims, damages, liabilities, losses, or expenses arising out of or related to your use or misuse of the Services or your violation of these Terms.

Arbitration and Class Action Waiver
You agree to resolve any dispute with Parcy through binding individual arbitration administered by JAMS in New York, under the Federal Arbitration Act. You waive your right to participate in class actions or class-wide arbitration. You may opt out of this arbitration provision within 30 days of first accepting these Terms by written notice to legal@parcy.co or by mail.

Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in New York County, New York, unless otherwise required by arbitration.

Modifications
Parcy may revise these Terms at any time by posting updated terms on the Site. Your continued use of the Services constitutes acceptance of the updated Terms.

Force Majeure
Parcy is not liable for delays or failure in performance resulting from causes beyond its reasonable control.

Assignment
You may not assign or transfer these Terms without prior written consent. Parcy may assign these Terms without restriction.

Notices
Notices to Parcy must be sent to legal@parcy.co. Notices to you may be sent to your registered email address.

Entire Agreement and Severability
These Terms constitute the entire agreement between you and Parcy regarding the Services. If any provision is deemed unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remainder of the Terms shall remain in full force and effect.
